Chapter OneInvestment Law: Incentives & Guarantees

The legal framework in force

As of August 2026, investment in Syria rests on the following instruments:

  • Investment Law No. 18 of 2021 and its amendments — the core reference.
  • Presidential Decree No. 114 of 2025 (issued 14 July 2025) — a comprehensive reorganization of the investment environment.
  • Decree No. 115 of 2025 — establishing the Supreme Council for Economic Development.
  • Decree No. 113 of 2025 — creating the Syrian Sovereign Fund.

The supervising body is the Syrian Investment Authority (invest.gov.sy), headed by Director General Eng. Talal Al-Hilali. Related bodies include the Ministry of Economy and Industry and the commercial registry directorates, alongside cooperation with the International Finance Corporation (IFC) on energy and infrastructure projects.

What Decree 114 of 2025 introduced

Obtaining an investment license

  1. Feasibility study: prepare a comprehensive economic study covering costs, expected returns, and employment scale.
  2. Application: submit a formal application to the Investment Authority via the single window, with the documents specified in the procedures manual in force.
  3. Approvals: the Authority coordinates with public bodies to obtain the required licenses within the timeframe fixed in the procedures manual.
  4. License and start-up: issuance of the investment license, then the establishment phase (not counted against the operating period), then actual operation.

1. Limited Liability Company (LLC)

Best suited to small and medium enterprises and partnerships. Managed by one or more managers.

  • Advantages: personal assets protected, low minimum capital, faster than a joint-stock company, flexible share distribution and management.
  • Restrictions: share transfers require partner approval and a contract amendment; no public share offering; maximum 50 partners.

2. Single-Member LLC

For the individual investor who wants personal asset protection. Owned by one person (natural or legal), managed by the owner or an appointed manager.

  • Advantages: independent legal personality, limited liability (unlike the individual enterprise), a registrable trade name, and the option to add partners later and convert to a standard LLC.
  • Restrictions: heavier accounting duties and a higher formation cost than a sole proprietorship; some activities require a different legal form.

3. Private Joint-Stock Company

For large projects and organized investment partnerships. Governed by a board of directors and a general assembly.

  • Advantages: easy share transfers among shareholders, clear governance, higher credibility with banks and authorities, and the optimal form for the incentives of Investment Decree 114/2025.
  • Restrictions: longer, more complex procedures; mandatory regulatory and accounting duties with an annual audit; no public share offering.

4. Public Joint-Stock Company

For large-scale enterprises targeting the capital markets. Governed by a board, a general assembly, and an auditor.

  • Advantages: public share subscription and broad capital-raising, eligibility for listing on the Damascus Securities Exchange, the highest levels of transparency and institutional trust, and freely tradeable shares.
  • Restrictions: the highest minimum capital, extended regulatory approvals, and mandatory periodic disclosure and financial reporting.

5. Holding Company

For managing groups of subsidiaries and holding stakes in other companies.

  • Advantages: ownership and management of subsidiaries, better tax and administrative structuring for groups, risk separation between subsidiaries, and flexibility in financing and restructuring.
  • Restrictions: normally may not conduct direct commercial activity itself, more complex consolidated accounting, and higher establishment and management costs.

6. General Partnership

For family businesses and trust-based partnerships. Managed by all partners or their designated representatives.

  • Advantages: no minimum capital, simple and fast procedures, low cost, full flexibility in management and partner agreements.
  • Restrictions: unlimited personal liability for company debts, difficulty attracting outside investors, and vulnerability to a partner's withdrawal or death.

7. Individual Enterprise

For solo trade, professions, and small services. Managed by its proprietor.

  • Advantages: the simplest, fastest, and cheapest form; full control over decisions and profits; no minimum capital; simplified accounting.
  • Restrictions: partners can never be added; no trade name may be chosen (registered under the owner's name only); unlimited personal liability.

  • Conditions: a legally registered, active parent company (a commercial registration valid for at least two years is preferred); approval of the Ministry of Economy and Foreign Trade; appointment of an authorized manager resident in Syria with defined powers; an official premises (lease or flexible contract); capital deposit in a licensed bank; social insurance registration and employment of at least one Syrian employee; compliance with Syrian tax law. Chapter FourIndividual Commercial Registration

Definition and the six defining traits

An individual commercial registration is recorded under one person's name exclusively, and has these characteristics:

  • Single ownership: registered to one natural person who bears full legal responsibility.
  • No partners: partners or investors cannot be added; moving to a partnership means forming a different legal entity.
  • No trade name: the business name is the owner's full legal name plus a description of the activity.
  • Unlimited personal liability: there is no separate legal entity; the owner answers for all obligations and debts with their entire personal assets.
  • No minimum capital: capital is estimated according to the activity's type and scale.
  • Individual tax status: the owner is a personal taxpayer (real-profits system) with a tax card, ledgers, and periodic filings.

Naming rules

  • Allowed: the owner's registered name followed by the activity — e.g. "Muhammad Ahmad Al-Ali — construction materials trading."
  • Prohibited: invented trade names (such as "Al-Noor Trading"), partnership phrases such as "& Co.", and any name that does not identify the actual registration holder.
A separate trademark can still be protected, independently of the registry name, through the Commercial Property Protection Directorate.

The seven establishment steps

  1. Choose the activity precisely and secure premises with a certified lease or title deed — this determines the competent registry office.
  2. Fix the business address under the owner's full name only (there is no trade-name reservation); the entity name is the owner's name plus the activity description.
  3. Submit the application and documents to the governorate's commercial registry office and pay the prescribed fees and stamps.
  4. On approval: receive the decision, the commercial registry number, and the registration certificate in the owner's name.
  5. Register with the Finance Directorate; obtain the tax number and card and set up the required ledgers.
  6. Complete membership in the competent chamber and receive the membership certificate and card.
  7. Open a commercial bank account in the business's name, with online account follow-up for a full year.

Chapter FiveJoint-Stock & Holding Companies

1. Private joint-stock company

  • Minimum capital: 1,000,000 new Syrian pounds, with at least 25% paid at incorporation.
  • Founders: at least 3 shareholders; subscription is private among them, with no public offering.
  • Governance: a board of directors plus a licensed statutory auditor; share trading is confined to founders and shareholders.
  • Conditions: bylaws approved by the Ministry of Economy, deposit of the required capital share in a licensed Syrian bank, a name check against registered names, and a precisely defined purpose with sectoral approvals for restricted activities.

2. Public joint-stock company

  • Minimum capital: 10,000,000 new Syrian pounds.
  • Founders: at least 3 shareholders plus the subscribing public, with a mandatory public offering of part of the shares.
  • Oversight: the Syrian Commission on Financial Markets and Securities; periodic disclosure and audited financial statements.
  • Shares: freely tradeable and eligible for listing on the Damascus Securities Exchange.
  • Conditions: Commission approval of the prospectus, a public offering within the statutory period, a licensed bank to manage the subscription and hold funds, then a constitutive general assembly after subscription closes and election of the board.

3. Holding company

  • Form: a joint-stock company (private or public); capital follows the chosen form.
  • Purpose: owning, managing, and financing subsidiaries with a controlling stake; it may not conduct commercial activity itself.
  • Conditions: the words "holding company" must appear in the name and bylaws; subsidiaries must be duly incorporated or registered; consolidated group accounts with audit reports must be prepared; and lending/financing between parent and subsidiaries is restricted.

The seven incorporation steps

  1. Trade name search: verify availability with the Companies Directorate.
  2. Draft the bylaws: define the purpose, capital, founders' stakes, and management structure.
  3. Application review: the competent officer examines the application and bylaws and requests amendments if needed.
  4. Capital deposit: deposit the statutory proportion in a licensed bank and obtain the bank notice.
  5. Ratification decision: issuance and due signature of the decision approving the bylaws.
  6. Subscription and constitutive assembly (public JSC only): offer the shares, hold the assembly, and elect the board.
  7. Publication in the commercial registry: register the company and obtain the registration and tax number.
Service facts: the competent body is the Ministry of Economy — Joint-Stock Companies Department. Applicants may be natural or legal persons, Syrian or foreign. Processing takes 20 business days for complete files (total duration varies by company type).

Chapter SixChamber of Commerce Membership

Chambers of Commerce Law No. 8 of 2020 organizes membership of the Syrian chambers into four categories. The First Category is the one recommended for expatriate investors, for its banking privileges and travel facilitation.

Types of real estate investment

The former classification committees were abolished and replaced by two mechanisms:

The former system (Law 24 of 2003)

Still the reference for prior years and pending cases:

  • Individuals (real profits): progressive brackets from 10% to 28%.
  • Companies: LLCs and partnerships 22%; public joint-stock 14%; private joint-stock 22%; banks and insurance 25%.

Exemptions and reliefs

  • The Investment Law (2021 and amendments): customs exemption for project imports (machinery and production lines), income-tax reductions in less-developed governorates, and free transfer of profits and capital abroad.
  • Agriculture: exempt from income tax.
  • Dividends: exempt between resident companies.
  • Free zones: preferential tax and customs treatment.
  • Old cities: exemptions for restoration and rebuilding (Decree 13 of 2022).
  • Personal deductions: dependents, medical care, education, rent, and loan interest.

How the tax is calculated

  1. Determine gross annual revenue.
  2. Deduct documented expenses (wages, rents, depreciation, loan interest).
  3. Apply the sector rate (10% or 15%).
  4. Deduct applicable exemptions and reliefs.
  5. File the tax declaration annually, electronically.
Worked example: a trading company with $200,000 revenue and $140,000 expenses ⇒ profit of $60,000; tax at 15% = $9,000.

الإطار القانوني النافذ

يقوم الإطار القانوني للاستثمار في سوريا (حتى آب/أغسطس 2026) على النصوص الآتية:

  • قانون الاستثمار رقم 18 لعام 2021 وتعديلاته — المرجع الأساسي.
  • المرسوم الرئاسي رقم 114 لعام 2025 (صادر في 14 تموز 2025) — إعادة تنظيم شاملة لبيئة الاستثمار.
  • المرسوم رقم 115 لعام 2025 — تشكيل المجلس الأعلى للتنمية الاقتصادية.
  • المرسوم رقم 113 لعام 2025 — إحداث الصندوق السيادي السوري.

الجهة المشرفة هي هيئة الاستثمار السورية (invest.gov.sy)، ومديرها العام المهندس طلال الهلالي. ومن الجهات ذات الصلة: وزارة الاقتصاد والصناعة، ومديريات السجل التجاري، إضافة إلى تعاون مع مؤسسة التمويل الدولية (IFC) في مشاريع الطاقة والبنية التحتية.

  1. دراسة الجدوى: إعداد دراسة جدوى اقتصادية شاملة تتضمن التكاليف والعوائد المتوقعة وحجم التشغيل.
  2. تقديم الطلب: طلب رسمي إلى هيئة الاستثمار عبر النافذة الواحدة، بالوثائق المحددة في دليل الإجراءات النافذ.
  3. استصدار الموافقات: تنسّق الهيئة مع الجهات العامة للحصول على التراخيص ضمن إطار زمني محدد في دليل الإجراءات.
  4. منح الإجازة والمباشرة: إصدار إجازة الاستثمار، ثم مرحلة التأسيس (لا تُحسب من مدة التشغيل)، فمرحلة التشغيل الفعلي.

1. الشركة محدودة المسؤولية (LLC)

الأنسب للمشاريع الصغيرة والمتوسطة والشراكات. يديرها مدير أو أكثر.

  • المزايا: حماية الذمة المالية الشخصية، رأس مال أدنى منخفض، إجراءات أسرع من المساهمة، مرونة في توزيع الحصص والإدارة.
  • القيود: نقل الحصص يتطلب موافقة الشركاء وتعديل العقد؛ لا يجوز طرح الحصص للاكتتاب العام؛ حد أقصى 50 شريكاً.

2. الشركة محدودة المسؤولية لشخص واحد

للمستثمر الفرد الراغب بحماية أصوله الشخصية. المالك شخص واحد (طبيعي أو اعتباري) يديرها بنفسه أو عبر مدير معيّن.

  • المزايا: شخصية اعتبارية مستقلة عن المالك، مسؤولية محدودة (خلافاً للمؤسسة الفردية)، اسم تجاري قابل للتسجيل، إمكانية إضافة شركاء لاحقاً والتحول إلى LLC عادية.
  • القيود: التزامات محاسبية أعلى من المؤسسة الفردية، وكلفة تأسيس أعلى، وبعض الأنشطة تتطلب شكلاً قانونياً آخر.

3. الشركة المساهمة المغفلة الخاصة

للمشاريع الكبيرة والشراكات الاستثمارية المنظمة. تُدار بمجلس إدارة وهيئة عامة.

  • المزايا: سهولة انتقال الأسهم بين المساهمين، حوكمة واضحة، مصداقية أعلى لدى المصارف والجهات الرسمية، الشكل الأمثل للاستفادة من حوافز قانون الاستثمار (المرسوم 114/2025).
  • القيود: إجراءات أطول وأكثر تعقيداً، التزامات رقابية ومحاسبية إلزامية مع تدقيق سنوي، ولا يجوز لها طرح أسهمها للاكتتاب العام.

4. الشركة المساهمة المغفلة العامة

للمشاريع الكبرى التي تستهدف أسواق رأس المال. تُدار بمجلس إدارة وهيئة عامة ومدقق حسابات.

  • المزايا: طرح الأسهم للاكتتاب العام وجذب رؤوس أموال واسعة، أهلية الإدراج في سوق دمشق للأوراق المالية، أعلى مستويات الشفافية والثقة المؤسسية، وأسهم حرة التداول.
  • القيود: أعلى حد أدنى لرأس المال، موافقات رقابية ممتدة، وإفصاح دوري وتقارير مالية إلزامية.

5. الشركة القابضة

لإدارة مجموعات الشركات التابعة وتملّك الحصص فيها.

  • المزايا: تملك وإدارة الشركات التابعة، هيكلة ضريبية وإدارية أفضل للمجموعات، فصل المخاطر بين التابعات، ومرونة في التمويل وإعادة الهيكلة.
  • القيود: لا تزاول عادة نشاطاً تجارياً مباشراً، محاسبة موحّدة أكثر تعقيداً، وتكاليف تأسيس وإدارة أعلى.

6. الشركة التضامنية

للمشاريع العائلية والشراكات القائمة على الثقة. يديرها الشركاء جميعاً أو من يمثلهم.

  • المزايا: لا حد أدنى لرأس المال، إجراءات بسيطة وسريعة، كلفة منخفضة، ومرونة كاملة في الإدارة واتفاقات الشركاء.
  • القيود: مسؤولية شخصية غير محدودة عن ديون الشركة، صعوبة جذب مستثمرين خارجيين، وتتأثر بانسحاب أحد الشركاء أو وفاته.

7. المؤسسة الفردية

للتجارة الفردية والمهن والخدمات الصغيرة. يديرها صاحبها.

  • المزايا: أبسط الأشكال وأسرعها وأقلها كلفة، تحكم كامل بالقرار والأرباح، لا حد أدنى لرأس المال، والتزامات محاسبية مبسطة.
  • القيود: لا يمكن إضافة شركاء مطلقاً، ولا اختيار اسم تجاري (تُسجل باسم صاحبها فقط)، والمسؤولية الشخصية غير محدودة.

الفصل الرابعالسجل التجاري الفردي

التعريف والخصائص الست

السجل التجاري الفردي يُسجَّل باسم شخص واحد حصراً، ويتميز بالخصائص الآتية:

  • ملكية فردية: التسجيل باسم شخص طبيعي واحد يتحمل كامل المسؤولية القانونية.
  • لا شركاء: لا يمكن إضافة شركاء أو مستثمرين؛ التحول إلى شراكة يستلزم تأسيس شكل قانوني آخر.
  • لا اسم تجاري: اسم المنشأة هو الاسم الكامل للمالك (كما في وثائقه) مضافاً إليه وصف النشاط.
  • مسؤولية شخصية غير محدودة: لا شخصية اعتبارية مستقلة؛ يضمن المالك جميع الالتزامات والديون بكامل أمواله الشخصية.
  • لا حد أدنى لرأس المال: يُقدَّر رأس المال بحسب نوع النشاط وحجمه.
  • تكليف ضريبي فردي: يُعامل المالك كمكلف شخصي (نظام الأرباح الحقيقية) مع بطاقة ضريبية ودفاتر وإقرارات دورية.

قواعد الاسم

  • المسموح: اسم المالك ونسبته كما هو مسجل، يليه بيان النشاط — مثال: «محمد أحمد العلي — تجارة مواد بناء».
  • الممنوع: الأسماء التجارية المبتكرة (مثل «النور للتجارة»)، وإضافة عبارات شراكة مثل «وشركاه»، وأي اسم لا يمثل صاحب السجل الفعلي.
يمكن حماية علامة تجارية مستقلة عن اسم السجل عبر مديرية حماية الملكية التجارية.

الإطار القانوني

  • موافقات الجهات الناظمة للأنشطة المنظّمة.
  • وكالة مصدّقة (عامة أو خاصة) عند تفويض الغير.

خطوات التأسيس السبع

  1. اختيار النشاط بدقة وتثبيت المقر بعقد إيجار مصدّق أو سند ملكية — وهذا يحدد أمانة السجل المختصة.
  2. تثبيت عنوان المنشأة باسم المالك الكامل فقط (لا يوجد حجز اسم تجاري)؛ العنوان = الاسم + وصف النشاط.
  3. تقديم طلب التسجيل والوثائق إلى أمانة السجل التجاري في المحافظة مع تسديد الرسوم والطوابع.
  4. بعد الموافقة: استلام القرار ورقم السجل التجاري وشهادة التسجيل باسم المالك.
  5. التسجيل لدى مديرية المالية والحصول على الرقم والبطاقة الضريبية وتنظيم الدفاتر المحاسبية.
  6. إتمام الانتساب إلى الغرفة المختصة بحسب النشاط واستلام شهادة وبطاقة العضوية.
  7. فتح حساب مصرفي تجاري باسم المنشأة، مع متابعة أونلاين للحساب سنة كاملة.

إرشادات قانونية مهمة

  • سجّل جميع الأنشطة المنوي ممارستها منذ البداية لتجنب رسوم التعديل لاحقاً.
  • لا تستخدم أسماء تسويقية تخالف قيد السجل الرسمي.
  • احتفظ بدفاتر منتظمة وفواتير أصولية لتجنب التكليف بالضريبة المقطوعة.

الفصل الخامسالشركات المساهمة والقابضة

1. الشركة المساهمة المغفلة الخاصة

  • رأس المال الأدنى: 1,000,000 ليرة سورية جديدة، يسدَّد ما لا يقل عن 25% منه عند التأسيس.
  • المؤسسون: 3 مساهمين على الأقل؛ الاكتتاب خاص بينهم دون طرح عام.
  • الإدارة: مجلس إدارة + مدقق حسابات قانوني؛ تداول الأسهم محصور بين المؤسسين والمساهمين.
  • الشروط: نظام أساسي معتمد من وزارة الاقتصاد، إيداع النسبة المطلوبة في مصرف مرخّص سوري، التحقق من عدم تشابه الاسم مع أسماء مسجلة، وتحديد الغاية بدقة مع الموافقات القطاعية للأنشطة المقيدة.

2. الشركة المساهمة المغفلة العامة

  • رأس المال الأدنى: 10,000,000 ليرة سورية جديدة.
  • المؤسسون: 3 مساهمين على الأقل + جمهور المكتتبين، مع طرح عام إلزامي لجزء من الأسهم.
  • الرقابة: هيئة الأوراق والأسواق المالية السورية؛ إفصاح دوري وبيانات مالية مدققة.
  • الأسهم: حرة التداول وقابلة للإدراج في سوق دمشق للأوراق المالية.
  • الشروط: موافقة هيئة الأوراق على نشرة الإصدار، طرح الأسهم للاكتتاب خلال المدة القانونية، مصرف مرخّص لإدارة الاكتتاب وحجز الأموال، ثم عقد جمعية تأسيسية بعد إتمام الاكتتاب وانتخاب مجلس الإدارة.

3. الشركة القابضة (Holding)

  • الشكل: شركة مساهمة مغفلة (خاصة أو عامة)، ورأس مالها وفق الشكل المختار.
  • الغاية: تملك وإدارة وتمويل الشركات التابعة، بتملك نسبة تؤمّن السيطرة؛ ويُمنع عليها مزاولة النشاط التجاري بنفسها.
  • الشروط: ذكر عبارة «شركة قابضة» في الاسم والنظام الأساسي، أن تكون التابعات مؤسسة أو مسجلة أصولاً، إعداد ميزانية موحدة للمجموعة مع تقارير التدقيق، والالتزام بقيود الإقراض والتمويل بين الأم والتابعة.

  3. دراسة الطلب: يدرس الموظف المختص الطلب والنظام الأساسي ويطلب التعديلات إن وُجدت.
  4. إيداع رأس المال: إيداع النسبة القانونية في مصرف مرخّص والحصول على الإشعار المصرفي.
  5. قرار المصادقة: إصدار قرار المصادقة على النظام الأساسي وتوقيعه أصولاً.

ينظّم قانون غرف التجارة رقم 8 لعام 2020 عضوية الغرف التجارية السورية في أربع فئات. الفئة الأولى هي الموصى بها للمستثمرين المغتربين لما توفره من مزايا مصرفية وتسهيلات سفر.

شروط تملك الأجانب للعقارات

  • يحق للأجانب تملك العقارات بشروط محددة، أهمها الحصول على موافقة أمنية مسبقة.
  • بعض المناطق الحدودية محظورة على تملك الأجانب.
  • التملك عبر شركة سورية يسهّل الإجراءات بشكل كبير.
  • المستثمرون السوريون (المغتربون) يتمتعون بحقوق المقيمين نفسها.
  • يجب تسجيل العقار في السجل العقاري الرسمي.

المخاطر وقواعد الحيطة

أُلغيت لجان التصنيف السابقة واستُبدلت بآليتين:

  • التكليف الفعلي لمن يتجاوز الحد المعفى.
  • مبلغ مقطوع مبسّط لأصحاب السجلات التجارية الذين لا يقدمون إقراراً.

النظام السابق (القانون 24 لعام 2003)

ما يزال مرجعاً للسنوات السابقة والدعاوى القائمة:

  • الأفراد (الأرباح الحقيقية): شرائح تصاعدية من 10% حتى 28%.
  • الشركات: المحدودة المسؤولية وشركات الأشخاص 22%؛ المساهمة العامة 14%؛ المساهمة المغفلة 22%؛ المصارف والتأمين 25%.

الإعفاءات والتسهيلات

  • قانون الاستثمار (2021 وتعديلاته): إعفاء مستوردات المشاريع من الرسوم الجمركية (آلات وخطوط إنتاج)، حسومات على ضريبة الدخل في المحافظات الأقل نمواً، وحرية تحويل الأرباح ورأس المال إلى الخارج.
  • القطاع الزراعي: معفى من ضريبة الدخل.
  • توزيعات الأرباح: معفاة بين الشركات المقيمة.
  • المناطق الحرة: معاملة ضريبية وجمركية تفضيلية.
  • المدن القديمة: إعفاءات على الترميم وإعادة الإعمار (المرسوم 13 لعام 2022).
  • تنزيلات شخصية: بدل إعالة، طبابة، تعليم، إيجار، فوائد قروض.

خطوات حساب الضريبة

  1. تحديد الإيراد الإجمالي السنوي.
  2. حسم النفقات الموثقة (أجور، إيجارات، اهتلاكات، فوائد قروض).
  3. تطبيق النسبة بحسب قطاع النشاط (10% أو 15%).
  4. حسم الإعفاءات والتنزيلات المستحقة.
  5. تقديم الإقرار الضريبي سنوياً إلكترونياً.
مثال تطبيقي: شركة تجارية إيرادها 200,000 دولار ونفقاتها 140,000 دولار ⇐ الربح 60,000 دولار، والضريبة بنسبة 15% = 9,000 دولار.

الفصل التاسعتصنيف الأنشطة الاقتصادية SYRSIC

توفر فيوتشرجيت أداة بحث في التصنيف الوطني السوري للأنشطة الاقتصادية (SYRSIC) الذي يضم 5,598 نشاطاً بأوصافها المعتمدة. تحديد النشاط بدقة وفق هذا التصنيف خطوة أساسية قبل أي تسجيل تجاري أو تأسيس شركة (انظر الفصلين الثالث والرابع).

طرق البحث

  • بالوصف النصي للنشاط.
  • برمز الفئة.
  • برمز النشاط.
